These Terms and Conditions ("Terms") constitute a legally binding agreement between the end user (“User” or “you”) and StoreM ("we," "us," or "our"). StoreM software, including its billing, inventory, point-of-sale (POS), warehouse management functions, and online store functionalities, is provided solely for lawful, intended use in managing business operations. By installing, accessing, or using StoreM, you agree to be bound by these Terms. If you do not agree to all provisions within these Terms, you must immediately discontinue use and uninstall StoreM. 1. Acceptance of Terms and Conditions - Binding Agreement: By using StoreM, you acknowledge these Terms as a binding legal agreement. Any use of StoreM indicates full acceptance of these Terms. - Age and Authority: You affirm that you are of legal age and have the authority to accept these Terms on behalf of yourself or the business entity you represent. 2. License Grant and Scope of Use - License: StoreM grants you a non-exclusive, non-transferable, revocable license to access and use StoreM to conduct business operations related to billing, inventory management, POS, and warehouse tracking. - License Limitations: This license prohibits resale, distribution, sublicensing, leasing, or any transfer of rights or use of StoreM for any purpose other than internal business operations. - Revocation and Limitations: StoreM reserves the right to terminate your license upon violation of these Terms. Upon termination, you must cease using and delete all copies of StoreM software and its data. 3. Restrictions on Use - Prohibited Actions: Users are prohibited from: - Decompiling, reverse-engineering, disassembling, or attempting to derive the source code of StoreM. - Engaging in any act that interferes with or disrupts the functionality of StoreM. - Using the software for illegal, fraudulent, or unauthorized purposes. - Security Obligations: Users must implement reasonable measures to safeguard StoreM software and its data, including restricting unauthorized access and reporting security breaches to us promptly. 4. Modifications and Software Updates - Modifications: StoreM may, at its discretion, modify or update software functionality, security, and/or user interface. These updates may be required for continued use of the software and may include important performance and security improvements. - Acceptance of Updates: You agree to install any required updates promptly. Failure to do so may lead to suspension of services or security vulnerabilities, for which StoreM is not liable. 5. User Responsibilities and Obligations - Accuracy of Information: Users are responsible for ensuring all information entered into StoreM is accurate, complete, and updated as necessary. StoreM is not liable for any inaccuracies or damages arising from incorrect data entry. - Account Security: Users are responsible for securing their login credentials and are accountable for all activities associated with their account. Sharing credentials with unauthorized individuals is strictly prohibited. - Compliance with Applicable Laws: Users agree to comply with all applicable local, state, national, and international laws in connection with their use of StoreM. 6. Data Privacy and Security - Data Collection and Use: StoreM collects, processes, and stores data related to software use and user activity. By using StoreM, you consent to this data collection, processing, and storage under our Privacy Policy. - Data Ownership: Users retain ownership of the data they enter into StoreM; however, StoreM reserves the right to anonymize and aggregate data for internal analysis and improvement of services. - Data Security: While we implement reasonable security measures, StoreM cannot guarantee absolute data security. Users are responsible for implementing additional security protocols as needed. 7. Intellectual Property Rights - Ownership: StoreM retains all rights, title, and interest in and to the software, including its design, code, interface, and proprietary features. StoreM’s intellectual property rights are protected under applicable copyright, trademark, and other proprietary rights laws. - No Implied Rights: The license granted under these Terms is not a sale or transfer of ownership. No rights or licenses are granted other than those expressly provided. 8. Third-party integrations and External Services - Third-Party Integrations: StoreM may offer integrations with third-party services for enhanced functionality. Your use of these integrations is at your discretion, subject to the terms of the third-party service provider, and is entirely separate from StoreM’s terms. - Limitation of Liability for Third-Party Services: StoreM disclaims all liability for issues arising from third-party integrations. StoreM is not responsible for any damages or data breaches related to these external services. 9. Limitation of Liability - Exclusion of Liability: To the fullest extent permitted by law, StoreM shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, data, or business arising out of or in connection with the use or inability to use the software. - Limitation on Damages: In no event shall StoreM’s total liability for all claims exceed the total fees paid by you for the software during the preceding twelve (12) months. - Indemnity: You agree to indemnify and hold harmless StoreM, its affiliates, and its officers, directors, and employees from and against any claims, damages, liabilities, and expenses arising from your breach of these Terms or your misuse of the software. 10. Disclaimer of Warranties - “As-Is” Basis: StoreM is provided on an “as-is” and “as available” basis. StoreM disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. - No Warranty of Availability: StoreM does not guarantee that the software will be uninterrupted, error-free, or compatible with specific devices or operating systems. Performance and availability may vary based on user configurations and third-party dependencies. 11. Termination and Suspension - Right to Terminate: StoreM reserves the right to terminate or suspend your access to the software if you breach any provision of these Terms or engage in prohibited conduct. - Effects of Termination: Upon termination, all licenses granted to you under these Terms will cease immediately, and you must stop using the software and delete all copies of StoreM in your possession. - Survival of Obligations: All provisions intended to survive termination, including limitations on liability, indemnification, intellectual property, and dispute resolution, will remain in effect. 12. Governing Law and Dispute Resolution - Applicable Law: These Terms are governed by and construed under the laws of India, without regard to its conflicts of laws principles. - Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in India for any disputes arising out of or related to these Terms. - Alternative Dispute Resolution: In the event of a dispute, the parties agree to attempt resolution through mediation or arbitration before pursuing litigation. 13. Changes to Terms and Conditions - Right to Modify Terms: StoreM reserves the right to amend these Terms at any time, with or without prior notice. You are responsible for periodically reviewing these Terms. Continued use of the software after any amendment constitutes acceptance of the modified Terms. 14. Entire Agreement These Terms constitute the entire agreement between you and StoreM concerning the subject matter herein, superseding all prior or contemporaneous agreements. Any additional or conflicting terms presented by the User are null and void unless expressly agreed upon in writing by both parties. 15. Severability If any provision of these Terms is deemed unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to reflect the original intent. 16.
